Licensing

The exclusive recording, making and distribution of and with the composition described in this EXCLUSIVE RIGHTS AGREEMENT to be made and distributed in the United States, its territories and possessions, in accordance with the provisions of Section 115 of the Copyright Act of the United States of America of October 19, 1976, as amended (ACT), except it is agreed that this license is limited to the particular recording and use of the COMPOSITION herein described and shall not include any other recording or form of recorded sound. This license also includes the exclusive recording, making, and distribution of and with the COMPOSITION described in this license throughout the universe, insofar that LICENSEE indemnifies and holds harmless LICENSOR from and against all third party claims, damages, liabilities, costs and expenses, including legal expenses and reasonable counsel fees, arising out of any alleged breach of national or international laws, treaties, or other policies as a result of using said COMPOSITION.
This license includes the privilege of making a musical arrangement of the COMPOSITION to the extent necessary to conform it to the style or manner of interpretation of the performance involved, but the arrangement made (I) may not change the basic melody or fundamental character of the COMPOSITION and (II) shall not be subject to protection under the ACT by LICENSEE as a derivative work.

List of Rights: once LICENSEE purchases exclusive rights to any composition(s) purchased though “exclusive rights” is still defined as stated in this agreement. When exclusive rights are purchased, it is the responsibility of LICENSOR to cease distribution of the composition in any way. Taking the compositions offline and no longer accepting payments for the compositions purchased is standard for Exclusive Rights. LICENSEE will then be legally permitted to sell unlimited units of the compositions, perform and earn royalties using the compositions.

This license provides LICENSEE agrees to accord LICENSOR a credit in liner notes or where other similar credits are listed. Credit shall be accorded in this form: “Produced by TwanBeatMaker for _______________.”
This license is personal, non-licensable and non-assignable, except by LICENSOR. Licensor remains in control of rights to the musical composition(s) listed herein. I`ncluding, but not limited to distribution and licensing. LICENSEE need not serve or file the notices required under the ACT. This COMPOSITION may remain on the official website as an example of material being produced.
THIS LICENSE SHALL BECOME EFFECT ONLY AFTER THE TRANSACTION DESCRIBED ABOVE HAS BEEN COMPLETED BY LICENSEE AND RECEIVED BY LICENSOR.

THIS LICENSE SHALL BECOME EFFECTIVE ONLY AFTER IT HAS BEEN SIGNED BY LICENSEE AND ACCEPTED BY LICENSOR, AND ITS EFFECTIVE DATE SHALL BE THE DATE ON WHICH IT IS SIGNED BY LICENSOR.

The recording, making and distribution of and with the composition described in this PREMIUM RIGHTS AGREEMENT to be made and distributed in the United States, its territories and possessions, in accordance with the provisions of Section 115 of the Copyright Act of the United States of America of October 19, 1976, as amended (ACT), except it is agreed that this license is limited to the particular recording and use of the COMPOSITION herein described and shall not include any other recording or form of recorded sound. This license also includes the recording, making, and distribution of and with the COMPOSITION described in this license throughout the universe, insofar that LICENSEE indemnifies and holds harmless LICENSOR from and against all third party claims, damages, liabilities, costs and expenses, including legal expenses and reasonable counsel fees, arising out of any alleged breach of national or international laws, treaties, or other policies as a result of using said COMPOSITION.

When premium rights are purchased, LICENSOR still retains the right to re-sell and distribute the composition(s) until exclusive rights are purchased. LICENSEE in the PREMIUM RIGHTS agreement owns the right to sell up to 25,000 units with the composition(s). Premium rights does not come with the right to earn money through performances or radio. LICENSEE will then be legally permitted to sell unlimited units of the compositions, perform and earn royalties using the compositions.

When LEASING rights are purchased, LICENSOR still retains the right to re-sell and distribute the composition(s) until exclusive rights are purchased. LICENSEE in the LEASING RIGHTS agreement owns the right to sell up to 4,000 units with the composition(s). LEASING rights does not come with the right to earn money through performances or radio. LICENSEE will then be legally permitted to sell unlimited units of the compositions, perform and earn royalties using the compositions.

This agreement does not come with the right to distribute or sell the composition(s) purchased. However it does come with the right to get your recorded music over these compositions onto radio, & LICENSEE can earn up to $20,000 in performance earnings without paying LICENSOR any additional royalties.
